Project Overview: Our client, a leading player in the infrastructure private equity space, seeks an experienced Independent Advisor to execute a sourcing project. The project aims to identify potential assets across Europe that align with their risk-based definition of infrastructure. As the industry faces challenges in PE monetizations, this project offers an opportunity to explore pre-emptive offers for assets that fit the infra criteria.Client’s Criteria for Infrastructure Assets:

• Resilience through Cycles: Assets that demonstrate stability and withstand economic fluctuations.
• Inflation Pass-Through: Ability to adjust pricing to account for inflation.
• Limited Inflationary and Commodity Exposure: Minimized exposure to inflation and commodity price fluctuations in operating expenses (unless contractually passed through).
• Contracted Assets Preferred: While not mandatory, contracted assets are desirable (e.g., education sector).
• Hard Asset Ownership: Preference for businesses with significant hard asset ownership (e.g., real estate ownership by schools).
• Essential Service Providers: Businesses delivering essential services.

Project Scope:

• Conduct a thorough screening of large private equity/core private equity portfolios across Europe.
• Identify assets that align with the client’s infrastructure definition.
• Evaluate potential exit strategies beyond traditional re-rates to infra cost of capital.
• Assess opportunities for pre-emptive offers based on lower IRR valuations.
