Our client is a London-based provider of advanced analytics software for financial markets. We are seeking an experienced Corporate Finance Advisor to assist the Executive Chair in managing a majority recapitalization sell-side process.

 The advisor's core responsibility will be to assist the Executive Chair in the process management of sell-side advisory firms, leveraging deep expertise in mid-cap technology M&A and established relationships within the investor community.

Key Responsibilities

The advisor's role in assisting the Executive Chair in managing the sale process will encompass a range of strategic and operational activities, including:

  • Strategic Advisory and Valuation:
    • Support a strategic review and assist in the potential sale of the business.
    • Perform valuation work in preparation for the sale, offering insights into financial modeling, investor positioning, and M&A processes.
    • Develop the financial business case for the transaction and identify synergies and value.
    • Provide strategic insights on investor positioning and M&A processes to optimize deal structuring and valuation.
    • Offer insight-driven recommendations to support decision-making, scaling, and capital allocation.

       

  • Transaction Document Preparation:
    • Develop and prepare comprehensive transaction documents, including the Information Memorandum (IM) and Total Addressable Market (TAM) Report.
    • Create detailed financial models and high-impact investor pitch materials/decks, and support data room readiness.

       

  • Due Diligence Management:
    • Coordinate and support various due diligence processes, including Technology Due Diligence (Tech DD) and Financial Due Diligence (Financial DD). Due diligence for private equity or M&A transactions is a key skill.
    • Assist in coordinating due diligence processes, ensuring all required information is provided accurately and promptly.
    • Organize and maintain the virtual data room, ensuring documents are up-to-date and accessible to authorized parties.
    • Partner with legal, commercial, and external advisors to support due diligence and deal structuring.

       

Qualifications

  • Proven experience in sell-side M&A within the mid-cap financial technology / regtech sector (7-10 years experience in leading investment bank)

  • Demonstrated experience in due diligence for private equity or M&A transactions.

  • Good knowledge of and established relationships with strategic investors, as well as a solid understanding of their decision-making processes.

  • Ability to lead or support on deal structuring, financial modeling, pitch materials, and negotiations.

  • Strong analytical skills, business acumen, and the ability to synthesize complex information.
